1. AGREEMENT TO TERMS

1.1 These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and [TECHA] (“we,” “us” or “our”), concerning your access to and use of [www.techa.sg] website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”). 

1.2 You agree that by accessing the Site, you have read, understood, and agree to be bound by all these Terms and Conditions. If you do not agree with all these Terms and Conditions, then you are expressly prohibited from using the Site and you must discontinue use immediately.

1.3 Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. 

1.4 It is your responsibility to periodically review these Terms and Conditions to stay informed of updates. You will be subject to and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms and Conditions by your continued use of the Site after the date such revised Terms and Conditions are posted. 

1.5 The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. 

1.6 Accordingly, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable. 

SALES ORDER 

2.1 Order

2.1.1 The advertising of products on our website constitutes an “invitation to treat” rather than a contractual offer.

2.1.2 No contract will come into force between you and us unless and until we accept your order in accordance with the procedure set out in this Section 2.

2.1.3 To enter into a contract through our website to purchase products from us, the following steps must be taken: [you must add the products you wish to purchase to your shopping cart, and then proceed to the checkout; if you are a new customer, you must then create an account with us and log in; if you are an existing customer, you must enter your login details; once you are logged in, you must select your preferred method of delivery and confirm your order and your consent to the terms of this document; you will be transferred to our payment service provider’s website, and our payment service provider will handle your payment; we will then send you an initial acknowledgement; and once we have checked whether we are able to meet your order, we will either send you an order confirmation (at which point your order will become a binding contract) or we will confirm by email that we are unable to meet your order].

2.2 Prices

2.2.1 Our prices are quoted on our website.

2.2.2 TECHA reserves the right to change the prices quoted on our website from time to time, but this will not affect contracts that have previously come into force.

2.2.3 All amounts stated in these terms and conditions or on our website are stated inclusive of GST.

2.2.4 It is possible that prices on the website may be incorrectly quoted; accordingly, we will verify prices as part of our sales procedures so that the correct price will be notified to you before the contract comes into force.

2.3 Payments

2.3.1 You must, during the checkout process, pay the prices of the products you order.

2.3.2 Payments may be made by [any of the permitted methods specified on our website from time to time].

2.3.3 If you fail to pay us any amount due under these terms and conditions in accordance with the provisions of these terms and conditions, then we may withhold the products ordered and/or by written notice to you at any time cancel the contract of sale for the products.

2.3.4 If you make an unjustified credit card, debit card or other charge-back then you will be liable to pay us, within [7 days] following the date of our written request:

(a) An amount equal to the amount of the charge-back;

(b) All third party expenses incurred by us in relation to the charge-back (including charges made by our bank or your bank or payment processor or card issuer);

(c) All our reasonable costs, losses and expenses incurred in recovering the amounts referring to in this Section 2.3 (including without limitation legal fees and debt collection fees), and for the avoidance of doubt, if you fail to recognise or fail to remember the source of an entry on your card statement or other financial statements, and make a charge-back as a result, this will constitute an unjustified charge-back for the purposes of this section 2.3

2.4 DELIVERY

2.4.1 TECHA policies and procedures relating to the delivery of products are set out in this Section 2.4.

2.4.2 TECHA will use reasonable endeavours to deliver your products on or before the date for delivery set out in the order confirmation.

2.4.3 Delivery time limit (eg. SEXP, PD) starts from 8.30 am of each working day.

2.4.4 Cut-off time will be at 2.00 pm of each business day. Orders placed on a non-business day or after 2.00 pm on a business day for EXP, SEXP and PD will be processed and scheduled to ship the following business day, with the time limit beginning at 8.30 am of the next working day. Earlier shipping is subject to the discretion of TECHA. For SPH, the cut-off time is 9.00 pm.

2.4.5 During sales, with the possibility of an overwhelming number of orders, TECHA reserves the right to decline any PD, SEXP, or EXP delivery and propose the next available delivery date.

2.4.6 TECHA will only deliver to addresses within Singapore except for restricted areas and which is not a freight forwarding location. Delivery will be to the shipping address in Singapore which is stated in the order unless otherwise specified by the customer.

2.4.7 Deliveries cannot be made to PO Boxes and the following areas: Jurong Island, Tuas Link, Changi Cargo, Army Camps, Seletar Aerospace, off-shore Islands such as Pulau Ubin, Singapore Prison Quarters, Airbase sites, SATS Inflight Catering Centre 1, ST Kinetics, Shipyards Powergrid.

2.4.8 Specific requests for delivery timings and days/dates will be agreed to at the discretion of TECHA. Such requests should be made at least 24 hours in advance. These cannot include Sundays and Public Holidays unless the SPH price is paid. These also cannot include timings before 9.30 am or after 7.30 pm.

2.4.9 If the customer wishes to change the delivery date or delivery address, they must contact the Customer Service team at least 24 hours prior to the dispatch of their Order. The delivery may be delayed and TECHA reserves the right to delay any such order should the customer update less than 24 hours before delivery. For delivery variations less than 24 hours, ie. SEXP, PD, SPH, no change of delivery address will be permitted.

2.4.10 The customer must take note that delivery to condominiums is subjected to its management’s discretion.

2.4.11 TECHA is not liable to customers for failure to deliver due to causes beyond its control.

2.4.12 TECHA may at its discretion deploy a designated third-party delivery service provider to deliver the ordered product on its behalf.

2.4.13 TECHA cannot accept responsibility for delivery failures or delays by its third-party delivery contractor.

2.4.14 TECHA will use its reasonable endeavours to deliver the order within any stated timeframes for dispatch, however, TECHA does not warrant that these timeframes will always be met, as many factors may affect these timeframes.

2.4.15 The customer is required to inspect the goods promptly upon receiving the item. They will be required to notify TECHA in writing of any damage on delivery or shortages within 7 days of delivery. TECHA will not be liable for any damage on delivery to any of the goods unless it is notified within the time period specified above.

2.4.16 TECHA will endeavour to make the delivery within 60H, 24H, 6H, and 2H for STD, EXP, SEXP, and PD respectively of accepting the order.

2.4.17 Specific time of the day of delivery will be at the discretion of TECHA within the chosen delivery variation.

2.4.18 There will be no charge for rescheduling of the first delivery due to no one being at the residence at the date and time of delivery to receive the goods or due to rejected delivery by the building Manager, and if the customer is uncontactable to authorise leaving the product at the doorstep.

2.4.19 Alternatively, the customer may authorize a Singaporean above the age of 18 to receive the product on their behalf if they are not available to receive the goods personally. Or else, the customer may authorise TECHA in writing in an agreed location, such as at the doorstep of the address. There will be photographic evidence upon delivery of the product.

2.4.20 Where the customer specifically instructs TECHA to leave the products at the doorstep, such delivery shall be at the customer’s sole risk and the customer accepts all liability and risk of loss, theft, and damage.

2.4.21 For the first and subsequent re-deliveries, there will be a charge of $10 each time. Re-delivery fees can be waived if the total order exceeds $200 before the discount. However, delivery fees will be charged if the customer eventually decides to cancel or initiates a refund request. The re-delivery date and time will be at the discretion of TECHA.

2.4.22 Products purchased online may not be in stock even after order confirmation. If TECHA is unable to fulfil the order, TECHA will contact the customer to offer an alternative product.

2.4.23 Delivery timing will be between 9.30 am to 7.30 pm. 

2.4.24 An SMS notification will be sent out to the phone number provided prior to delivery informing the customer of impending delivery.

2.4.25 During sale periods, delivery timing may end later than 7.30 pm.

2.4.26 This service does not include installation and set-up services.

2.4.27 Customers must notify TECHA during the purchase of any difficulties that may be involved in the delivery (such as stairs or narrow entries). If they do not state the situation correctly and on arrival the delivery contractor deems it to be a difficult location, they will be liable for any extra charges including redelivery fees and the cost of an extra person to assist.

2.4.28 Delivery dates are estimates only and TECHA is unable to accept any liability for failure to deliver the goods within the specified time resulting from shipment/delivery delays from our suppliers.

2.4.29 If there is no one available to accept delivery on the pre-arranged delivery date, there will be a charge for storage, transport and re-delivery costs.

1. REFUNDS

3.1 TECHA reserves the right to refund even after an order is confirmed and paid for should it be unable to deliver the products purchased.

3.2 A delivery charge will be imposed for delivery and if the cancellation is made after the delivery team has already been dispatched to make the delivery, regardless of when the order was made and/or when the refund request was initiated.

3.3 If free gifts, vouchers and accessories have been used, the refund amount will be offset accordingly. If delivery has taken place, then the refund will exclude delivery charges paid. In the event of any order cancellation, the refund will exclude paid delivery charges.

3.4 Refund (Cash): On approval, the amount will be credited through Bank Transfer or PayNow within 48 hours. Please note that transactional charges (Payment Fee) are deductible and non-refundable. Formula: (Amount) - (Transaction Charges) = (Balance).

3.5 Refund (Store Credit): On approval, the full refund will be credited to your e-wallet account within 24 hours.

1. WARRANTY

4.1 Warranty is not transferable to any third party.

4.2 Customer shall make a claim within 7 days of the occurrence of the event entitling them to make a claim, failing which, they shall not be entitled to the benefits under the warranty. TECHA shall not be liable if the customer does not contact the local brand manufacturer for assessment or repair within 7 working days from the date of the occurrence of the event. 

4.3 TECHA reserves the right to reject any return, exchange, refund deemed unfit or unreasonable.

4.4 TECHA reserves the right to vary or modify the terms and conditions of the Warranty at any time.

S/N Exclusions from warranty coverage

1 Product used in office or for industrial/commercial purposes including residential premises which have been let, (multi-user organisations), public rental, use for profit or communal use for multi-family housing

2 Damage or loss caused by events that occur outside Singapore.

3 Damage or loss caused by the unauthorised alteration, tampering, modification, repair or maintenance of the product.

4 Damage or loss caused willfully or recklessly or intentionally.

5 Damage or loss caused by negligence or carelessness or accident.

6 Damage or loss caused by fraud.

7 Damage or loss caused by sabotage.

8 Damage or loss caused by wear and tear, degeneration, rust, mould, discolouration or cosmetic defects including defects to paintwork or product finish, in particular, without limitation, to batteries, television screens, display panels, cables, cord assembly, remote control units, antennae, battery packs, adaptors, rubber gaskets, filters, bulbs, lamps, drum units, print heads, ink cartridges, cabinets, front panels, casings, covers, frames, lenses, lids, levers, plugs, sockets, control knobs, buttons, speakers, computer keyboards, mouse.

9 Damage or loss caused by Acts of God including without limitation, earthquake, volcanic eruptions, tsunami and lightning.

10 Damage or loss caused by war, riots or uprising.

11 Damage or loss caused by the execution of legal rights by national or public bodies or any third party, seizure, requisition, and confiscation.

12 Damage or loss caused by nuclear fuel substances or radioactivity.

13 Damage or loss caused by computer viruses or any defect or any error in any software used upon or in association with the product.

14 Damage or loss to a product that is recalled such recall having made by the manufacturer.

15 Damage or loss caused by neglect, misuse, abuse, improper installation, improper usage or wrong electrical supply/voltage or failure to operate the Product in accordance with the instructions provided.

16 Damage or loss caused by power outages or surges.

17 Screen burn caused by channel logos or other static images.

18 Product given as free gifts during sales promotions.

19 Damage due to being used in a manner, or to an extent which is inconsistent with the manner or extent of use that a reasonable consumer would expect to obtain from the goods; and the goods would have complied with the guarantee of acceptable quality if they had not been used in the manner or to that extent.

20 Any diagnosis where no defect has been found or noted.

21 Such products may be determined by TECHA.

Accordingly, TECHA operates on a "notice and action" basis. 

5.1.2 While TECHA has made every effort to ensure the details, descriptions and prices on the website is free from error, it does not warrant the accuracy, adequacy or completeness of the information or material on the website. The information and materials contained in this website, including any services, products, information, data, text, graphics, audio, video, links, and other items are provided "as is", and "as available". 

5.1.3 TECHA expressly disclaims liability for errors or omissions in the information and materials. The use of any information or materials on the website is entirely at one’s own risk. It shall be one’s own responsibility to ensure that any products, services, or information available through the website meet one’s specific requirements.

5.1.4 The contents of this website are subject to change by TECHA at any time without notice and to correct any errors published on the website.

5.1.5 The contents of the website are for one’s general information and personal use only. One may not use this website for commercial purposes.

5.1.6 In no event shall TECHA be liable to any party for any damages, losses, expenses or costs whatsoever (including without limitation, any direct, indirect, special, incidental or consequential damages, or economic loss or loss opportunity) in connection with or arising out of one’s use of this website, or reliance on any information, materials or online services provided at this website, regardless of the form of action and even if TECHA had been advised as to the possibility of such damages. This exclusion clause shall take effect to the fullest extent permitted by Singapore law.

5.1.7 TECHA shall not be liable if for any reason this Website is unavailable at any time or for any period.

5.1.8 One agrees fully to indemnify, defend and hold TECHA, and its officers, directors, employees, agents and suppliers, harmless immediately on demand from and against all claims, liability, damages, losses, costs and expenses, including reasonable legal fees, arising out of any breach of the terms and conditions or any other liabilities arising out of the use of the website, or the use by any other person accessing the website using one’s account and/or one’s personal information.

5.1.9 The terms and conditions shall be governed and construed in all respects in accordance with the laws of Singapore but in enforcing the terms and conditions TECHA is at liberty to initiate and take actions or proceedings against one in Singapore or elsewhere as it may deem fit, and one hereby agrees that where any actions or proceedings are initiated and taken in Singapore, one shall submit to the jurisdiction of the courts of Singapore in all matters connected with one’s obligations and liabilities under or arising out of the terms and conditions.

5.1.10 A person who is not a party to any agreement governed by the terms and conditions has no right under the Contracts (Rights of Third Parties) Act (Chapter 53B) to enforce any of the terms of such agreement.

5.1.11 If any of the terms and conditions are invalid or unenforceable, the remainder of the terms and conditions shall continue to have full force and effect.

5.1.12 Access to this website may be terminated at any time without notice. All disclaimers and limitations of liability by TECHA will survive termination.

5.1.13 The terms and conditions may be amended by TECHA at any time without notice. The terms and conditions as amended from time to time take effect immediately from the time they are published on this website. One’s the continued use of this website following such publication will be deemed as acceptance of the terms and conditions as amended from time to time.

5.2 External Links

5.2.1 The Site [and our mobile application] may contain (or you may be sent through the Site [or our mobile application] links to other websites or content belonging to or originating from third parties or links to websites and features in banners or other advertising. Such external links are not investigated, monitored, or checked for accuracy, adequacy, validity, reliability, availability, or completeness by us.

6.4 By submitting content, ideas, suggestions, documents, and/or proposals to TECHA through its suggestion or feedback web pages, one agrees and acknowledges that (a) one will not include any content that is or could be unlawful, defamatory, offensive, obscene, dangerous or false or any content that is protected by copyright or other intellectual property rights, without first obtaining permission of the copyright owner or rights-holder, or any contents that contain any viruses, bugs or other harmful elements, (b) one hereby grants TECHA a perpetual, worldwide, irrevocable, non-exclusive, royalty-free and sublicensable right and license to use and exercise all copyright and publicity rights one has in any media and for any purpose and (c) one is not entitled to any compensation or reimbursement of any kind from TECHA under any circumstances.

1. PRIVACY

7.1 TECHA may collect information related to customers’ details such as those provided by the customer online through Lazada and Shopee transactions, through chats, and through verbal interaction over phone calls or in person.

7.2 This information may include name, address, contact information and payment information.

7.3 For Website: TECHA may receive and store certain types of information when customers visit the TECHA website. TECHA may use cookies and obtain certain types of information when customers visit the website.

7.4 TECHA uses this information to a) manage orders or enable third-party couriers authorised by TECHA to do so, b) contact customers on issues pertaining to orders, order status, products and services c) respond to customers’ queries, d) process payments, e) update or verify records and personal information, f) track and confirm transactions and delivery status, g) send TECHA promotional and marketing material produced by TECHA and/or third-party partners, h) resolve disputes that may arise between the customer and TECHA, i) to protect the legal rights or property of TECHA.

7.5 TECHA may also release account and other personal information when it believes release is appropriate to comply with the law; enforce or apply its rights; or protect the rights, property or safety of TECHA, its users or others.

7.6 TECHA does not sell or lease customers’ personal information to third parties. TECHA may need to share their information with certain third parties to perform services on its behalf. Examples include processing and fulfilling orders and the delivery of packages.

7.7 TECHA will take reasonable measures to ensure the confidentiality and security of the personal information shared with these third parties and to protect it from loss, copying, misuse, unauthorised access, disclosure, alteration, destruction or similar risks.

7.8 Customers may choose to stop receiving or change the frequency of email, direct mail, phone and mobile marketing communications. Customers have the right to request the correction of any personal data.

7.9 By submitting their personal information, they are indicating their consent to allow TECHA and/or its authorised representatives to seek customer feedback in relation to products or services provided.
